1. Definitions and Interpretation

In these Terms and Conditions, the following expressions bear the meanings assigned to them:

2. Acceptance of Terms
  1. By downloading, accessing, or using the App in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the App.
  2. If you are accepting on behalf of an organisation (including an accounting or auditing firm), you warrant that you have authority to bind that organisation.
  3. The Operator reserves the right to amend these Terms at any time. Material changes will be notified by email. Continued use after publication of amended Terms constitutes acceptance.
  4. These Terms are governed by the laws of the Republic of South Africa.
3. Nature of the Service — Important Disclaimer
  1. The App is an educational and reference tool providing general tax information based on official SARS publications, tax legislation, and interpretations current at the time of the most recent content update.
  2. The information, templates, and calculators do not constitute professional tax advice, legal advice, or financial advice. They are provided for general informational and educational purposes only.
  3. Use of the App does not create a professional advisory relationship between the Operator and the User. For advice specific to your circumstances, consult a qualified tax practitioner, accountant, or attorney.
  4. The Operator updates the App annually following the National Budget Speech but does not warrant that all information is current at any given time. Users are responsible for verifying currency before relying on it.
  5. The App is not affiliated with, endorsed by, or connected to SARS in any way.
4. User Obligations and Prohibited Conduct
  1. You agree to use the App only for lawful purposes and in accordance with these Terms.
  2. You must not: share login credentials or access codes with any third party; resell, sublicense, or commercially exploit the App without prior written consent; reverse engineer or decompile the App; reproduce or create derivative works from any content without permission; use the App to provide commercial tax services without a firm licence; circumvent any access controls or payment mechanisms; use automated tools or scrapers; or use the App in any manner that could damage or impair it.
  3. The Operator reserves the right to suspend or terminate your access without notice if you breach any of these obligations.
5. Subscriptions and Pricing
5.1 Available Plans

All prices are quoted exclusive of VAT where applicable.

5.3 Payment
  1. Payment is processed exclusively through PayFast. The Operator does not store credit card or banking details.
  2. Subscriptions are billed annually, in advance, on the Subscription Date.
  3. Your Subscription becomes active immediately upon successful payment confirmation from PayFast.
  4. If payment fails or is reversed, your access will be suspended until payment is resolved.
5.4 Automatic Renewal
  1. Your Subscription will automatically renew on the Renewal Date at the then-current price, unless you cancel beforehand.
  2. A renewal reminder will be sent to your registered email address no less than 14 days before the Renewal Date.
5.5 Price Changes

The Operator may change subscription prices with effect from any Renewal Date, provided at least 30 days' written notice is given. If you do not wish to continue at the new price, you may cancel before the Renewal Date.

5.6 Cancellation
  1. You may cancel at any time by contacting support@taxgnosis.co.za or WhatsApp 078 302 1405. Cancellations must be received before the Renewal Date to prevent renewal billing.
  2. Cancellation does not entitle you to a refund except as provided in clause 7.
  3. Upon cancellation, access continues until the end of the current paid period.
6. Support Services
  1. Support Services are billed monthly and cover app-usage questions submitted through the designated support channel.
  2. Support Services expressly exclude: active SARS engagement or representation; preparation or submission of tax returns; specific tax advice tailored to individual circumstances; responses to SARS audit or verification queries; or any service constituting tax practitioner practice on behalf of the User.
  3. Excluded services will be quoted and billed separately as professional services.
  4. The Operator will endeavour to respond within 3 Business Days. Response times are not guaranteed during peak tax seasons.
  5. Support Services may be cancelled with 30 days' written notice.
7. Refund Policy
7.1 Cooling-Off Period (Direct Marketing)
  1. If you subscribed as a result of direct marketing (Facebook, Instagram, LinkedIn, or email), you have the right to cancel within 5 Business Days of the Subscription Date without penalty, in terms of section 16 of the CPA.
  2. To exercise this right, notify us in writing at support@taxgnosis.co.za within the 5-Business-Day period.
  3. If you have not yet accessed the paid content, you will receive a full refund within 7 Business Days.
  4. If you have already accessed the paid content before the cooling-off period expires, the cooling-off right is waived and no refund will be issued.
7.2 General Refund Policy
  1. Refund requests received within 7 days of the Subscription Date, where paid content has not been accessed, will be considered for a full refund at the Operator's discretion.
  2. Refund requests received after 7 days will not be considered, except where required by law.
  3. Partial refunds for unused portions of an annual Subscription are not available, except where required by law.
  4. Refund requests must be submitted to support@taxgnosis.co.za with your name, subscription reference, and reason.
  5. Approved refunds will be processed through PayFast within 7 Business Days of approval.
7.3 Firm Licences
  1. Refund requests for firm licences must be made by the designated firm administrator.
  2. No refund or credit for unused users mid-year. Users may be reassigned at no cost.
  3. Full cancellation follows the general refund policy in clause 7.2.

8. Intellectual Property
  1. All intellectual property in the App is owned by or licensed to the Operator and protected by applicable South African and international law.
  2. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the App for personal or internal business purposes during your Subscription.
  3. SARS forms and official government publications reproduced in the App are included for educational reference only.
  4. You may not reproduce, redistribute, sell, publish, or create derivative works from any content without prior written consent.
  5. The licence terminates immediately upon expiry or cancellation of your Subscription.
9. Limitation of Liability
  1. To the maximum extent permitted by law, the Operator shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the App.
  2. The Operator shall not be liable for: any tax liability, penalty, or adverse assessment from reliance on the App; loss of data or profits; errors or omissions in content; failure to update content following legislative changes; or third-party services including PayFast.
  3. The Operator's total aggregate liability shall not exceed the total amount paid by you in the 12 months preceding the claim.
  4. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
10. Privacy and Data Protection
  1. The Operator collects and processes personal information in accordance with POPIA and the Privacy Policy, available at taxgnosis.co.za/privacy.html.
  2. By using the App, you consent to the collection, use, and processing of your personal information as described in the Privacy Policy.
  3. The Operator implements reasonable technical and organisational measures to protect your personal information.
  4. Payment processing is handled by PayFast. The Operator does not store your payment card details.
11. App Availability and Updates
  1. The Operator does not warrant that the App will be available at all times, error-free, or uninterrupted.
  2. The App content is updated annually following the National Budget Speech, and more frequently where significant legislative or SARS changes occur.
  3. The Operator reserves the right to modify, suspend, or discontinue the App at any time, with reasonable notice where practicable.
12. Governing Law and Dispute Resolution
  1. These Terms are governed by the laws of the Republic of South Africa.
  2. Disputes will first be referred to good-faith negotiation within 20 Business Days of written notice.
  3. If unresolved, disputes may be referred to mediation before a mediator appointed by the Arbitration Foundation of Southern Africa (AFSA).
  4. If mediation fails, disputes shall be resolved by arbitration under AFSA rules, with the seat of arbitration in Cape Town.
  5. Nothing prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
  6. For consumer disputes, you may approach the Consumer Goods and Services Ombud (CGSO) or the National Consumer Commission (NCC).
13. General Provisions
  1. If any provision is found to be invalid or unenforceable, that provision shall be severed and the remainder shall continue in full force.
  2. The Operator's failure to enforce any right shall not constitute a waiver of that right.
  3. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and the Operator.
  4. You may not cede or transfer any rights or obligations without prior written consent. The Operator may cede rights to a successor entity without your consent.
